It is evolving from a murky, paper-driven voting process into corporate governance via blockchain, promising instant, transparent, and tamper-proof results for all shareholders to verify. Governance via blockchain can offer public accountability to shareholders and true democratic governance by stripping away the intermediaries that slow down processes and cloud results. This progress has, however, brought to light an inconvenient truth about governance tokens: a blockchain-based voting process does not automatically ensure a higher degree of democratic decision-making. Take Compound and Uniswap, two highly-recognized decentralized protocols. According to studies, only 10 of the 17 voters in Compound control 57.86% of the voting power, while the top 10 voters in Uniswap hold 44.72% of voting power. Obviously, concentration of voting power on a blockchain does not ensure that it would be distributed at all to prevent abuse of power.<h2>How Corporate Governance Tokens Really Work</h2>Proxy voting has outgrown its original purpose. Under proxy voting, shareholders vote through a series of intermediaries, delaying votes and complicating confirmation that their vote was counted. Ballots are manually counted, sometimes taking days or even weeks, which brings doubt into the result. Governance tokens replace this with automated, programmatic voting rights. Such setups afford privacy protections from competitors being able to see sensitive activities while maintaining transparency in governance outcomes.<h2>What Blockchain Voting Resolves, and What It Doesn't</h2>Using blockchain for voting has several features that address important governance issues. For example, Shareholder Representative Services showed that blockchain voting allows shareholders to independently verify vote totals and ensure ballots have been counted. Further, companies adopting blockchain voting foster an environment of transparency, auditability, and usability that can lead to increased participation by shareholders. With blockchain voting, the enhanced confidence in vote integrity will lead to increased engagement, enabling shareholders to review their individual totals. Tokenized shares also allow fractional ownership, making access to capital wider and opening new avenues for equity participation. What might have required thousands to purchase as a single share, investors can own multiple fractional shares. Once a firm has recorded board-level records on a blockchain, those records are publicly available and might attract scrutiny. Creating an indelible record of vote totals, board decisions, and actions holds board members accountable. These records will make it possible for shareholders to hold boards accountable at all times. Despite the generations of governance token differences, the essential power dynamics remain similar. Governance tokens operate on a "one token, one vote" principle, meaning that larger holders have greater influence. On-chain and off-chain voting are in the balance with the same actors. The mechanics might be different, but power concentration largely persists. This paper's results are consistent with these trends: highly concentrated voting power in the early DeFi governance tokens and low citizen participation. In Compound, less than three votes may constitute quorum a function of its plutocratic governance design rather than a failure.<h2>The Issue of Concentration</h2>Wealth concentration undercuts democratization. When ten holders are in the majority, governance tokens do not diffuse power but crystallize and entrench existing influence. In delegated voting, power is consolidated in a small group of experts, introducing another layer of intermediary, similar to those that blockchain seeks to eliminate.<h2>Where It Works</h2>Applications of a Governance Token exist in corporate contexts. Improvements in proxy voting make verification easier, results clearer, and disputes fewer. Token use can address existing issues without a complete proxy-system overhaul. Tokenized fractional ownership holds real promise. NFT ownership changes and disputes are recorded on the blockchain much more accurately than traditional stock registries. In turn, the need to notify shareholders and update stock ledgers lessens. Clear records on the blockchain improve internal decision-making. Recording board meetings, financial transactions, and strategic decisions openly creates accountability and reduces fraud risks. This isn't a revolution in governance but a practical integration of blockchain into governance. Governance tokens can enable partnership governance, which allows the collaboration of a venture, consortium, or supply chain. Then, by equitably distributing the tokens and using smart contracts to automate duties, participants can coordinate shared activities that would be challenging under traditional contracts.<h2>The Real-World Regulation</h2>At present, there are no legal frameworks for governance tokens. Is tokenized company ownership a security? How do securities laws interact with blockchain-based voting? And what if smart contracts come into conflict with company law? Regulatory uncertainty risks token-governed businesses. Existing data privacy regulations also complicate matters when one wants to adopt tokens. The openness of blockchains contradicts GDPR and similar laws that give the public rights to alter or delete information. Thus, votes or judgments which are recorded on-chain are unchangeable and visible, and this is where companies need to resolve the conflict to avoid violations. Transitioning to blockchain voting also entails integration or replacement of legacy systems, which is both expensive and risky.<h2>What Could Really Happen</h2>In real life, most companies would not fully rely on governance tokens to run their business or even to interact with vendors and consultants. A hybrid approach is likely, where blockchain components are combined with traditional technologies. Governance tokens enable larger organizations to adopt governance practices without issuing tradable securities. Employees might vote on workplace policies, departments might collaborate on shared resources, and regional offices might self-govern according to local rules. This approach can help navigate securities regulations that constrain voting and asset creation. The most compelling case for the use of governance tokens is to further collaborative partnerships and industrial consortia. They protect fair and transparent decision-making processes within supply-chain alliances or multi-party collaborations, preserving the neutrality of the blockchain protocol, which is important in these initiatives. Technology is not destiny; incentives and power are. Governance tokens prove that blockchain can perform clear, fast, auditable voting, but it does not necessarily make voting fair or democratic. In a tokenized environment, power remains with the usual suspects unless the balance of power has changed. It may be misleading to characterize blockchain as "democratizing" corporate governance; the technology offers more transparency and accountability within the existing power structure. Transparency and accountability matter, but it is not the revolution that some people had hoped for. Governance tokens do improve proxy voting, board accountability, and partner coordination, but they do not erase the power imbalance. Most corporate-blockchain implementations will be pragmatic, embedded, and incremental rather than transformational.
