The Republic Note is Republic's primary investment offering, a digital security asset allowing holders to benefit from the economic success of select portfolio companies within Republic's ecosystem. It provides exposure to a diversified venture portfolio, including companies like SpaceX, Carta, and Axiom Space, among hundreds of others, through a single investment. Issued by Republic Core, LLC, it aims to connect investors to promising private companies.

Republic Note operates as a revenue-sharing digital security. Holders are entitled to pro-rata dividend distributions from a Dividend Pool once it reaches a set threshold, after operational fees. These dividends are intended to be paid in an eligible digital asset directly to the wallet holding the Note token. The funds for these distributions originate from the successful outcomes of portfolio companies associated with Republic's funding platforms. Additionally, Republic Note holders gain access to exclusive benefits such as professional investor events, investor waitlist priority, and other platform perks, enhancing their overall experience.

Republic Note is explicitly designated as a digital security asset, also referred to as a security token, rather than a cryptocurrency. This classification means its trading and transfer activities must strictly adhere to United States securities laws and regulations. Understanding this distinction is crucial as it governs how the token can be offered, traded, and held, differentiating it significantly from typical, unregulated cryptocurrencies.

Republic Note can be traded on INX, which is Republic's partner secondary trading platform, once the tokens become unlocked. Republic emphasizes that the infrastructure for trading security tokens is still developing, and INX possesses specific licenses enabling 24/7 trading, making it one of the few regulated platforms globally for security tokens. It's important to note there is currently no regulatory path to list Note on major centralized exchanges.

The Republic Note is built upon the Algorand blockchain. Republic chose Algorand for its robust technical capabilities, which are well-suited for enabling efficient and secure micro-distributions to a large number of holders. Furthermore, Algorand facilitates the necessary tracking of identity and ownership, crucial for complying with stringent KYC/AML requirements mandated for security tokens. There have also been discussions about potentially offering a wrapped version on Binance Chain in the future.

Investing in Republic Note carries several risks. Primarily, it involves exposure to private companies, which is inherently risky and could lead to a total loss of invested capital. Initial distributions are expected to be minimal, as early-stage companies often require significant time (typically 5-9 years) to achieve successful exits.
